1. Acceptance of Terms
Engaging CCK Global for any service constitutes acceptance of these Terms & Conditions. Deviations or negotiated clauses must be documented in writing and countersigned by both parties.
2. Scope of Services
CCK Global provides people-powered customer engagement, inside sales, customer success, and revenue operations tailored to each client brief. The detailed scope, deliverables, success metrics, and service levels will be outlined in an accompanying Statement of Work (SOW) or Master Services Agreement (MSA).
Requests for additional work outside of an agreed scope may require a change order including revised timelines and commercial terms.
3. Client Responsibilities
- Provide accurate onboarding information, brand guidelines, compliance requirements, and training materials in a timely manner.
- Designate a primary contact for approvals, feedback, and escalation.
- Ensure all data, third-party tools, and systems provided to CCK Global are licensed and free from infringement.
4. Fees, Invoicing & Payment
Unless otherwise stated in the relevant SOW, invoices are issued monthly in arrears and payable within thirty (30) calendar days. Late payments may attract interest at 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
All quoted prices are exclusive of taxes, duties, or withholding unless expressly stated. Clients are responsible for remitting applicable taxes and shall provide supporting documentation for any deductions required by local regulation.
5. Confidentiality
Both parties agree to protect all non-public information shared in the course of the engagement. Confidential information may only be used to fulfil contractual duties and may not be disclosed to third parties without prior written consent, unless disclosure is mandated by law.
6. Data Privacy
CCK Global processes personal data on behalf of clients strictly in accordance with documented instructions, applicable privacy laws, and our Privacy Policy.
Clients must ensure they have obtained lawful grounds for processing any personal data shared with CCK Global and remain the data controller for all such information.
7. Intellectual Property
All pre-existing intellectual property, methodologies, and proprietary tools owned by either party remain their exclusive property. Unless otherwise agreed in writing, deliverables produced by CCK Global in the performance of the services will vest in the client upon full settlement of all outstanding invoices.
8. Warranties & Disclaimers
CCK Global commits to providing services with reasonable skill, care, and professionalism. Except as expressly stated, no other warranties—express or implied—are provided, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service delivery.
9. Limitation of Liability
To the fullest extent permitted by law, CCK Global's liability arising from any engagement is limited to the total fees paid by the client in the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for indirect, consequential, special, or punitive damages.
10. Termination
Either party may terminate the engagement for convenience with thirty (30) days' written notice, or immediately for cause if the other party commits a material breach and fails to remedy it within fifteen (15) days of written notice. Upon termination, all outstanding fees become immediately payable.
11. Force Majeure
Neither party will be liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of government, labour disputes, or widespread telecommunications outages. Affected obligations will be suspended for the duration of the force majeure event.
12. Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of the Republic of Kenya, unless an alternative jurisdiction is specified in the governing contract. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
13. Updates to These Terms
CCK Global may update these Terms & Conditions from time to time to reflect operational, regulatory, or commercial changes. Updated versions will be posted on this page with a revised effective date. Continued use of our services following any update constitutes acceptance of the revised terms.
